Welcome to Quaruty. Please read these Terms of Service ("Terms") carefully as they contain important information about your legal rights, remedies, and obligations. By accessing or using the Quaruty platform, you agree to comply with and be bound by these Terms.
Please note: Quaruty is currently under development. These Terms of Service apply to the preview version and will be updated prior to our official launch.
1. Acceptance of Terms
By registering for and/or using the Services in any manner, you agree to these Terms and all other operating rules, policies, and procedures that may be published by Quaruty, each of which is incorporated by reference.
If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms, in which case "you" refers to that entity.
2. Description of Services
Quaruty provides an email marketing platform that allows users to create, send, and analyze email campaigns ("Services"). The Services include:
- Email campaign creation and management
- Subscriber list management
- Email automation
- Analytics and reporting
- Integration with third-party services
During the development phase, certain features may be limited, unavailable, or subject to change without notice.
3. User Accounts
To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify Quaruty immediately of any unauthorized use of your account or any other breach of security.
Quaruty reserves the right to terminate your account if any information provided proves to be inaccurate, not current, or incomplete.
4. Intellectual Property Rights
The Services and its original content, features, and functionality are owned by Quaruty and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You may not duplicate, copy, or reuse any portion of the HTML/CSS, JavaScript, or visual design elements or concepts without express written permission from Quaruty.
You retain all rights to the content you create, upload, or distribute through the Services. By using the Services, you grant Quaruty a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute your content for the purpose of providing and improving the Services.
5. Prohibited Activities
You agree not to engage in any of the following prohibited activities:
- Using the Services for any illegal purpose or in violation of any local, state, national, or international law
- Sending spam or unsolicited emails
- Harvesting or collecting email addresses or other contact information of other users from the Services by electronic or other means
- Interfering with, disrupting, or creating an undue burden on the Services or the networks or services connected to the Services
- Attempting to impersonate another user or person
- Using the account, username, or password of another user without permission
- Selling or otherwise transferring your profile or account
- Using any information obtained from the Services to harass, abuse, or harm another person
- Using the Services in a manner inconsistent with any applicable laws or regulations
6. Compliance with Anti-Spam Laws
You agree to comply with all applicable anti-spam laws and regulations, including but not limited to the CAN-SPAM Act of 2003, the Canadian Anti-Spam Law (CASL), and the General Data Protection Regulation (GDPR). This includes:
- Obtaining proper consent from recipients before sending emails
- Including your valid physical postal address in every email
- Providing a clear and conspicuous way for recipients to unsubscribe
- Honoring opt-out requests promptly
- Not using false or misleading header information or subject lines
Quaruty reserves the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated any anti-spam laws or regulations.
7. Limitation of Liability
To the maximum extent permitted by law, in no event shall Quaruty, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Services
- Any conduct or content of any third party on the Services
- Any content obtained from the Services
- Unauthorized access, use, or alteration of your transmissions or content
During the development phase, the Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied.
8. Termination
Quaruty may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
